Terms and Conditions

These Terms of Service (the "Terms") govern your access to and use of Stayvera's websites, mobile applications, account features, booking and purchase services, communications, referral program, and related services (collectively, the "Services").

The Services are provided by Stayvera Inc., a Delaware corporation, file number 10275355 ("Stayvera," "we," "us," or "our").

Please read these Terms carefully. They contain important information about how travel contracts are formed, payments, cancellations, refunds, and limits on liability. Additional terms shown before you book or buy—including a host's rules, a travel supplier's conditions, fare or rate rules, and an eSIM plan description—form part of your transaction.

Nothing in these Terms limits a right or remedy that cannot lawfully be limited under the law that applies to you.

1. Agreement to These Terms

By creating an account, making or accepting a booking, purchasing a product, joining the referral program, listing accommodation, or otherwise using the Services, you agree to these Terms. If you use the Services for a business or another person, you confirm that you have authority to bind them.

If you do not agree, do not create an account or make a transaction through the Services. Your use of public pages remains subject to the acceptable-use and intellectual-property provisions of these Terms.

Our Privacy Policy explains how we handle personal information, and you should read it before using the Services.

2. Eligibility and Travelers

You must be at least 18 years old and legally able to enter a contract to create an account, make a booking or purchase, list accommodation, receive a payout or referral reward, or organize a group payment.

A person under 18 may travel or receive an eSIM only as a companion or beneficiary of a booking or purchase made by an authorized adult. The adult is responsible for having authority to provide the minor's information, for supervising the minor, and for meeting supplier rules that apply to young travelers.

Some products have additional age, identity, residency, documentation, or eligibility requirements imposed by a host, supplier, payment provider, network operator, or law. You are responsible for reviewing and meeting those requirements.

3. Accounts and Verification

You must provide accurate, current, and complete information and keep it updated. You are responsible for activity conducted through your account and for protecting your credentials and devices. Tell us promptly at legal@stayvera.com if you reasonably believe your account has been compromised.

We may ask for information needed to confirm identity, authority, payment eligibility, payout eligibility, traveler details, sanctions compliance, fraud risk, or legal compliance. Completing a verification step does not mean that Stayvera endorses, guarantees, or has comprehensively investigated a user. Unless we expressly say otherwise, guests are account-authenticated but are not identity-verified by Stayvera.

You may not transfer an account, create an account using false information, impersonate another person, or use another person's payment method or identity documents without authorization.

4. Stayvera's Different Roles

Stayvera is a travel platform through which several kinds of services may be offered. Our role depends on what you select and what the checkout and confirmation identify.

4.1 Direct stays

For accommodation listed directly by a host on Stayvera (a "Direct Stay"), the host is the provider of the accommodation and the guest's contract for the stay is with that host. Stayvera provides the marketplace, booking, communication, and payment-collection services. Where stated at checkout, the host appoints Stayvera as its limited payment-collection agent for amounts due through the Services. A payment properly made to Stayvera in that capacity satisfies the guest's corresponding payment obligation to the host.

Stayvera does not own, lease, manage, inspect, or control a host's property merely because it appears on the Services. Stayvera is not a hotel, property manager, insurer, or party to the host–guest accommodation contract unless the checkout expressly states otherwise.

4.2 Partner hotels and other supplied accommodation

For a hotel or other stay obtained from travel inventory supplied by a third party (a "Partner Stay"), the hotel or other supplier identified at checkout or in the confirmation provides the accommodation. Stayvera acts as the booking intermediary and, where identified at checkout or in the confirmation, the payment merchant and invoice issuer. Unless checkout expressly identifies Stayvera as the contracting accommodation provider, your contract for the accommodation is with the identified supplier. The supplier's rate rules, property rules, and booking conditions also apply. Stayvera's receipt or invoice does not make Stayvera the operator of the property.

4.3 Flights

For flights, the airline and any other supplier identified at checkout or in the confirmation provide the air transportation and related travel services. Stayvera acts as the booking intermediary and, where identified at checkout or in the confirmation, the payment merchant and invoice issuer. Unless checkout expressly identifies Stayvera as the contracting transportation provider, your contract for air transportation is with the identified supplier. The airline's conditions of carriage, fare rules, baggage rules, and other supplier terms also apply.

4.4 eSIM plans

For eSIM plans purchased through the Services, Stayvera is the retailer unless checkout states otherwise. Mobile network access is delivered through network operators and connectivity providers in the plan's stated coverage area. Those providers control network availability, radio coverage, speed, congestion, and local network performance.

4.5 No agency beyond what is stated

No user may bind Stayvera or make promises on Stayvera's behalf. A host is not our employee, partner, or general agent. Except for a limited collection appointment expressly described above, no agency or fiduciary relationship is created by these Terms.

5. Combined Selections and Checkouts

The Services may allow you to discover, select, reserve, or pay for more than one travel product in a single flow, trip, itinerary, or checkout. Different products in that flow may be provided by different hosts or suppliers, governed by different transaction terms, charged separately, confirmed at different times, and subject to different cancellation rules. Review the contracting party, supplier, price, and terms shown for each product.

The legal characterization of a combined selection depends on the facts and the law that applies. If applicable law treats a combination as a package, linked travel arrangement, or similar protected arrangement, all mandatory rights, disclosures, insolvency protections, and responsibilities under that law apply. Nothing in these Terms, a product label, separate confirmations, or separate supplier contracts excludes those mandatory protections.

Unless applicable law or the checkout states otherwise, cancellation or failure of one product does not automatically cancel, refund, or change another product in the same trip or checkout.

6. Search Results, Quotes, and Booking Formation

Search results, availability, prices, AI-generated suggestions, and quotes can change until a transaction is confirmed. A selection placed in a cart, itinerary, or payment flow is not reserved unless the Service expressly says it is.

When you submit a booking or purchase request, you make an offer to buy the selected service on the terms shown. A binding transaction is formed only when Stayvera or the identified supplier accepts the request and a confirmation is issued. We may first authorize a payment method and capture funds only after acceptance. If acceptance fails after a payment authorization, we will release or reverse the authorization as appropriate; your financial institution controls when released funds become available.

Check confirmations promptly and contact us if you see an error. Names and traveler information must match the documents required by the supplier. Corrections may be unavailable or may require a new booking and additional charges.

7. Prices, Fees, Taxes, and Currency

Before you submit a transaction, checkout will show the amount payable through Stayvera and identify known mandatory charges that are payable separately, such as a charge collected by a property on arrival. Additional amounts may arise from choices or changes you make later, use beyond what was purchased, damage, fines, government action, or charges that a supplier could not reasonably calculate in advance.

Unless checkout states otherwise, Stayvera's standard fees are:

  • Direct Stays: a guest service fee equal to 5% of the nightly accommodation subtotal plus any cleaning fee, excluding taxes and Stayvera service fees; and a host service fee equal to 5% of that same amount, deducted from the host payout.
  • Flights: a service fee equal to 7.5% of the flight and selected-service amount, plus USD 1, EUR 1, GBP 1, or CAD 1 when the transaction uses one of those currencies; for another currency, the fixed portion is the converted equivalent of USD 1.
  • eSIM plans: Stayvera's margin is included in the retail price displayed for the plan rather than added as a separate service fee.
  • Direct Stay currency conversion: when Stayvera converts a Direct Stay price into another currency, a 1% foreign-exchange fee may be included in or added to the converted amount shown before payment.

The exact amount displayed for a transaction controls. A promotion, negotiated arrangement, local rule, or product-specific disclosure may result in a different fee. We may change fees prospectively, but a change will not alter a confirmed transaction unless you later request a change that is priced under new terms.

Prices may include or exclude taxes depending on the product and jurisdiction. You are responsible for taxes, duties, levies, resort or city charges, and similar amounts identified before booking or lawfully imposed because of your transaction. Hosts remain responsible for taxes and registrations imposed on their accommodation activity, except where Stayvera is required to calculate, collect, report, or remit an amount.

8. Payments and Payment Methods

By providing a payment method, you represent that you are authorized to use it and authorize the disclosed charges, authorizations, refunds, reversals, and adjustments connected with your transaction. A payment provider may perform additional verification or decline a transaction under its own rules.

We may securely store a payment-method token for later use if you request or permit this. Stayvera does not need to receive the full card number to process a payment.

If the amount charged is incorrect, contact us promptly. A chargeback does not cancel an underlying obligation that was validly incurred. We may provide transaction records to payment providers and suspend access to a disputed transaction while a chargeback is reviewed.

Refunds are ordinarily sent to the original payment method unless law requires or permits another method. After we initiate a refund, the payment network and your financial institution determine when it is posted.

If your account shows promotional credit, referral credit, or another non-cash balance, the offer shown when it is issued will state any product limits, validity period, or other material restrictions. Unless expressly identified as withdrawable funds, promotional credit is not cash, is not a bank deposit, is non-transferable, and may be applied only to eligible transactions. We may reverse credit obtained through error, fraud, self-referral, or abuse, subject to mandatory law. Cash referral rewards are governed by Section 17 instead.

9. Group and Split Payments

Some transactions may allow an organizer to invite others to fund assigned portions. Each participant authorizes only the amount shown to that participant. A participant does not become a traveler or acquire rights to a product merely by paying unless the booking identifies them as such.

The organizer is responsible for selecting the product, entering accurate traveler or recipient details, allocating portions, obtaining permission to share invitees' information, and ensuring all required amounts are funded by the deadline. If any portion is not successfully paid, the transaction may expire, remain unconfirmed, or require another permitted payment method.

Unless checkout expressly states otherwise, a split payment changes how a transaction is funded, not the applicable cancellation policy or contracting parties. A refund may be returned among the original payment methods in proportion to the amounts funded or as otherwise required by the payment provider or law. The organizer may not promise a participant a refund different from the refund available for the underlying product.

For a group eSIM purchase, each recipient may receive a separate eSIM or plan as shown at checkout. The purchaser confirms that they have the recipient's permission to provide the information needed for delivery.

10. Direct Stay Terms for Guests

The listing, total price, house rules, occupancy limits, check-in and checkout requirements, cancellation policy, and safety information shown before booking form part of the guest's contract with the host. The guest must:

  • use the accommodation only for the permitted stay and authorized travelers;
  • comply with reasonable house, safety, building, and community rules disclosed before booking;
  • avoid unlawful activity, nuisance, unauthorized parties, excessive occupancy, or deliberate or negligent damage; and
  • report a serious safety issue, material listing mismatch, or inability to access the accommodation promptly and give the host and Stayvera a reasonable opportunity to assist.

The booking does not give the guest a tenancy or other property right beyond the temporary occupancy authorized by the booking, except where local law provides otherwise.

Stayvera does not currently include travel insurance, a security-deposit program, or a Stayvera damage-protection guarantee with a Direct Stay. A host may pursue a documented claim directly or through a process made available by Stayvera, subject to applicable law. We will not charge a guest for a damage claim without authorization or another lawful basis.

11. Direct Stay Terms for Hosts

A host offering a Direct Stay must have authority to offer the property and is responsible for the accommodation contract, the guest's stay, and compliance with all laws and obligations that apply to the listing. This includes zoning, rental restrictions, permits, registrations, tax, safety, accessibility, consumer, housing, building, lease, mortgage, association, and insurance obligations.

A host must:

  • provide accurate, complete, current, and non-misleading listing information;
  • disclose whether the host acts as a business or private individual where the Services request it;
  • disclose all mandatory prices, material restrictions, cancellation terms, and property charges before booking;
  • keep availability and pricing current and honor confirmed bookings;
  • provide safe, lawful, and reasonably clean accommodation matching the listing;
  • hold all rights needed for listing text, images, names, and other content;
  • communicate professionally and protect guest and traveler information; and
  • cooperate with reasonable safety, fraud, support, tax, and compliance requests.

A host may not ask a guest to pay a mandatory booking amount outside the Services unless it was disclosed before booking and the Service expressly permits it. A host may not discriminate unlawfully, retaliate against a guest for exercising legal rights, manipulate reviews, or misrepresent identity, location, amenities, verification, or property status.

Search and recommendation methods differ by product; there is no single ranking formula. For Direct Stays, destination, dates and availability, capacity, property type, amenities, and other selected filters first determine which listings qualify. In the default order, an internal editorial featured designation, where used, has the greatest influence, followed by how recently the listing was created; users may instead choose total-price order. Hosts cannot buy placement or set featured status, but can influence eligibility and matching by keeping listing details, availability, capacity, amenities, and prices accurate.

Partner Stay results are filtered by location, live availability, occupancy, and selected property, amenity, star-rating, and price criteria, then ordinarily retain the order returned by the inventory supplier. Personalized stay sections use onboarding choices and prior bookings, saved stays, searches, and views, with bookings and saved stays generally carrying more weight and newer activity generally carrying more weight. Flight offers are first limited by the requested itinerary and constraints; remaining offers are ranked primarily by whether requested seat or baggage capabilities are unavailable, followed by relative price and journey duration, number of stops, and relevant prior airline use. Ties favor lower total price and then shorter duration. Stayvera does not currently sell sponsored placement; any future paid placement will be identified.

Hosts can access the listing information they submit and booking, guest, communication, payout, and performance information made available in their account. Hosts receive only the guest and transaction information reasonably needed to provide and administer a stay; they do not receive full payment credentials, internal fraud or security signals, or another host's non-public data. Access may end when an account or listing is closed, subject to records that must remain available by law or the applicable transaction terms.

12. Partner Stay Terms

Partner Stay availability and rules are supplied by the identified travel supplier. Room descriptions and images may be representative, and the property determines room assignment unless a particular room is expressly guaranteed.

Review the rate's occupancy, meal, bed, child, pet, deposit, payment, cancellation, no-show, and property-charge terms before booking. The property may require a payment card, identification, or deposit at check-in even if the booking was prepaid. Only charges disclosed before booking, arising from later choices or conduct, or otherwise permitted by law may be collected.

Requests for adjoining rooms, accessibility features, early arrival, late departure, or other special arrangements are not guaranteed unless confirmed by the property. Tell us before booking if a feature is essential so that available options can be checked.

13. Flight Terms

The passenger is responsible for passports, visas, transit authorizations, health documents, entry rules, and arriving on time. Stayvera does not determine entry eligibility. A passenger who is denied boarding or misses a flight may lose the fare unless supplier terms or law provide otherwise.

Schedules, aircraft, seats, terminals, operating carriers, and baggage allowances may change. The operating airline controls flight operations and safety. Codeshare and connecting itineraries may involve several airlines and separate rules.

Optional services such as seats and baggage are subject to confirmation. Airline loyalty credit is not guaranteed. A support request does not change or cancel a flight; a change or cancellation is effective only when confirmed.

If an airline cancels or significantly changes a flight, remedies are governed by applicable law and the airline's terms. Where law gives you a refund because you do not accept the alternative offered, we will provide or facilitate that refund as required. Mandatory passenger rights are not limited by these Terms.

14. eSIM Terms

You need a compatible, carrier-unlocked device and must follow the installation instructions. Compatibility information is a guide; you are responsible for confirming your device supports the plan before purchase. An eSIM may be limited to one device or installation, and deleting it from a device may prevent reinstallation.

The plan page states the countries or regions, data allowance, validity period, and whether validity begins at installation or first network connection. Coverage and speeds vary by location, device, network conditions, congestion, local restrictions, and operator practices. Unless the plan expressly includes them, voice calls, text messages, a local phone number, tethering, or unrestricted access to every online service are not included.

Do not use an eSIM unlawfully, interfere with a network, resell access without permission, or use service in a way that violates fair-use or network-security rules disclosed for the plan.

Because an eSIM is digital content or a digital service delivered promptly after purchase, checkout may ask you to request immediate performance and acknowledge that a statutory withdrawal right can be lost once delivery or performance begins, where law permits. Any such waiver is effective only if the legal requirements are met. This does not affect rights for a plan that is faulty, not delivered, or materially different from its description.

15. Cancellations, Changes, No-Shows, and Refunds

The cancellation and change terms displayed before you submit a transaction are part of that transaction and control over a general description in this section.

15.1 Direct Stays

Unless the listing shows a different policy, the standard Direct Stay policy is:

  • cancellation at least 14 days before check-in: full refund;
  • cancellation at least 7 but fewer than 14 days before check-in: 50% cancellation charge; and
  • cancellation fewer than 7 days before check-in or after check-in: 100% cancellation charge.

Deadlines use the property's local time and the check-in time shown for the booking. The checkout will state whether a service or transaction fee is refundable. A partial cancellation, shortened stay, or change is subject to the policy and price confirmed for that action.

If a host cancels a confirmed booking or cannot provide the booked accommodation, the guest will receive a full refund of amounts paid through Stayvera for the unavailable Direct Stay. We may also try to assist with alternatives, but cannot guarantee a replacement or the same price.

15.2 Partner Stays and Flights

The supplier's rate or fare rules determine whether a voluntary cancellation, change, or no-show is refundable and what supplier charges apply. Some rates and fares are non-refundable or non-changeable. A quote for a change or cancellation may expire before confirmation.

If a supplier cancels or fails to provide a confirmed service, you will receive a full refund of amounts paid through Stayvera for the unavailable service unless you affirmatively accept a replacement or another remedy. If a supplier makes another material change, we will provide or facilitate the remedy required by the transaction terms and applicable law. Supplier insolvency or refusal does not limit any refund or other obligation Stayvera independently owes, including when Stayvera is the payment merchant.

15.3 eSIM plans

An unused eSIM plan may be canceled only if the checkout terms or mandatory law allow it. Once usable digital delivery, installation, activation, or data use has begun, an eSIM plan is generally non-refundable except where the plan is faulty, not delivered, materially misdescribed, or law requires a remedy. If provisioning fails and we cannot provide the purchased plan within a reasonable time, we will issue an appropriate refund.

15.4 Refund processing

Any refund is calculated under the terms in effect when the transaction was confirmed, as modified by mandatory law. Unless clearly disclosed before the transaction or arising from a later request, we do not deduct a separate payment-processor fee from a refund. Your financial institution controls when an initiated refund appears in your account.

We initiate refunds without undue delay and within any deadline that applicable law imposes on us. We will not substitute a voucher, credit, or replacement for a refund required by law unless you affirmatively choose that option after receiving any disclosure required by law.

16. Host Payments and Payouts

For a Direct Stay, Stayvera collects the guest payment as described at checkout, deducts the disclosed host service fee and authorized adjustments, and makes the remaining amount eligible for payout. A payout is normally eligible for release after a seven-day hold that begins on the day after the scheduled checkout date, subject to successful payment, verification, reserves, disputes, chargebacks, refunds, safety concerns, sanctions screening, and legal requirements.

Eligibility for release is not a guarantee of a particular bank settlement date. The host's bank and payout provider control subsequent processing. Currency conversion and bank charges may apply where disclosed or imposed independently by the recipient's institution.

We may delay, withhold, reverse, or offset a payout where reasonably necessary to administer a cancellation or refund, resolve a dispute, recover an overpayment or host fee, address suspected fraud, protect a guest, comply with law, or correct an error. We will provide the reason and any available review process where required by law.

Hosts are responsible for payout and tax information and for reporting their income. We may collect and report information to tax authorities where required.

17. Referral Program

Eligible users may receive a referral link or code. The offer displayed in the referral dashboard or promotion identifies any credit, commission, qualifying product, eligibility period, and other conditions.

Where permitted—and where consent has been obtained if required—a referral link may be remembered for up to 90 days before the referred person creates an account. After a valid sign-up, eligible completed transactions may generate rewards for up to 365 days from sign-up, unless the displayed offer is shorter.

A reward remains provisional until the underlying transaction is completed and applicable cancellation, refund, fraud-review, dispute, and chargeback periods have passed. We may withhold, reduce, reverse, or offset a reward tied to a canceled, refunded, reversed, duplicated, self-referred, manipulated, unlawful, or fraudulent transaction.

Referral participants must be at least 18, make legally required advertising and endorsement disclosures, and comply with marketing and anti-spam laws. Participants may not self-refer, create duplicate or collusive accounts, purchase or sell codes, misrepresent an offer, use unauthorized automated distribution, or send unlawful unsolicited messages.

Referral participation does not create employment, agency, partnership, franchise, or a right to ongoing offers. We may change or end the program prospectively on reasonable notice where required. Accrued valid rewards remain subject to the terms under which they were earned and any mandatory rights.

18. Vera, Trip Guides, and Automated Features

Stayvera may offer an AI-assisted travel feature called Vera and other automated tools that suggest stays, flights, eSIMs, activities, itineraries, or travel information. These tools may generate incomplete, inaccurate, outdated, or unsuitable results. Output is a starting point, not a guarantee, professional advice, or a substitute for checking current supplier terms and official travel, health, safety, visa, entry, and emergency information.

Prices and availability in an automated response are not binding until shown in checkout and confirmed. You are responsible for reviewing names, dates, destinations, traveler details, restrictions, and final terms before a transaction.

Do not rely on Vera for emergencies or urgent safety decisions. Contact local emergency services or the appropriate official authority. Do not submit confidential information or sensitive personal information to an open chat unless the feature specifically requests it for a stated purpose.

To operate and improve these features, we may process prompts, messages, voice transcripts, feedback, and generated outputs as described in the Privacy Policy.

19. Messaging, Reviews, and User Content

You may submit profile information, listing materials, messages, reviews, trip content, images, feedback, and other content ("User Content"). You retain ownership of your User Content. You grant Stayvera a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, copy, format, display, communicate, moderate, and otherwise use that content only as reasonably needed to operate, provide, secure, and improve the Services, complete transactions, and comply with law. For User Content that you choose to publish, such as a listing or public review, this license also allows us to display and promote that content in connection with Stayvera and the relevant listing. We do not use private messages to promote the Services. This license lasts while needed for those purposes, subject to your privacy and deletion rights.

You represent that you have the rights and permissions needed for the User Content and that it is accurate where accuracy matters. You may not submit content that is unlawful, deceptive, threatening, discriminatory, privacy-invasive, defamatory, infringing, sexually exploitative, or designed to facilitate an off-platform payment or fraud.

Messages between users are for legitimate trip and booking purposes. We may use automated or human review to detect fraud, unsafe conduct, policy violations, or attempts to evade payment controls, subject to applicable law.

Reviews must reflect a genuine experience and must not be bought, coerced, manipulated, or retaliatory. We may decline or remove content that violates these Terms, is irrelevant, exposes sensitive information, or must be restricted by law. Where applicable law requires it, we will provide reasons and an opportunity to challenge a moderation decision.

Some content on the Services is provided by hosts, travel suppliers, users, or other third parties. Rights in that content remain with its owner. If you believe content is unlawful or infringes your intellectual property or other legal rights, use an available reporting tool or send a notice to legal@stayvera.com. Identify the content and where it appears, explain the legal or factual basis for the notice, provide your name and email address unless law permits an anonymous notice, and confirm your good-faith belief that the information is accurate. We may request information reasonably needed to assess the notice, remove or restrict the content while reviewing it, and contact the person who supplied it. Where required by law, we will acknowledge the notice, explain our decision, and identify an available review or redress process.

Feedback about the Services may be used without payment or restriction, but this does not give us ownership of your personal information or other User Content.

20. Stayvera Content and Intellectual Property

The Services, software, brand, interface, and original materials created by Stayvera are owned by Stayvera or its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for lawful personal travel or authorized business purposes.

You may not copy, scrape, reverse engineer, distribute, sell, sublicense, frame, or commercially exploit the Services or Stayvera content except as law expressly allows or we agree in writing. You may not use Stayvera names, logos, or confusingly similar branding without permission.

21. Acceptable Use and Safety

You must not:

  • use the Services for fraud, abuse, exploitation, unlawful discrimination, trafficking, sanctions evasion, money laundering, or other unlawful conduct;
  • threaten, harass, stalk, harm, or invade the privacy of another person;
  • interfere with the Services, bypass access or security controls, introduce malicious code, or probe systems without authorization;
  • use bots, scripts, or scraping tools in a way that burdens the Services, circumvents restrictions, or extracts non-public data;
  • make an off-platform payment intended to evade disclosed fees or safeguards;
  • manipulate search results, referrals, prices, bookings, availability, reviews, rewards, or payouts;
  • resell a booking, account, eSIM, or access right unless expressly permitted; or
  • help another person do any of the above.

For an immediate threat or emergency, contact local emergency services first. Stayvera is not an emergency-response service.

22. Communications

We may send service communications needed to administer your account or transactions, including confirmations, itinerary updates, security alerts, support messages, payout notices, and legal notices. You cannot opt out of communications that are necessary to provide a requested service, but you can stop them by closing your account after completing or canceling outstanding transactions.

We send marketing messages only as permitted by law and based on any consent or preference required in your jurisdiction. You may unsubscribe from email marketing or disable optional marketing notifications at any time. Doing so does not affect service communications.

Joining a waitlist, requesting preview access, or using a test feature does not guarantee launch access, availability, approval, pricing, a booking, or a launch date. Any preview or beta feature may be subject to additional terms shown when access is offered.

Any investor or fundraising information made available through the Services is general and preliminary. It is not an offer to sell securities, a solicitation, or legal, tax, financial, or investment advice. Any offering will be made only through the formal documents required for that offering. A separate confidentiality agreement controls if it conflicts with these Terms regarding confidential materials.

23. Third-Party Services and Links

The Services depend on third parties for travel inventory, maps, payments, identity and account functions, communications, hosting, analytics, network access, and other operational support. Some third-party services have their own terms and privacy notices.

Stayvera is responsible for its own obligations but does not control a third party's independent websites, network operations, transportation, property operations, or content. A link does not imply endorsement. These provisions do not reduce rights you may have against Stayvera where applicable law makes us responsible for a supplier or third party.

24. Availability and Changes to the Services

We may maintain, update, restrict, suspend, or discontinue a feature or market. We do not guarantee uninterrupted access or that every service will be available in every location. Confirmed transactions remain governed by their transaction terms and applicable law, and discontinuing a feature does not remove an accrued right or remedy.

We may correct obvious pricing, availability, or technical errors before a transaction is confirmed. If a material error is discovered after confirmation, we will not impose a higher price without your agreement and will provide any cancellation or other remedy required by law.

25. Enforcement, Suspension, and Account Closure

We may warn, restrict content, pause a transaction or payout, suspend an account, or close an account where reasonably necessary to address a Terms violation, fraud or safety risk, legal requirement, non-payment, repeated supplier failure, or material harm to the Services or users. When appropriate and legally required, we will explain the reason, provide notice before the measure takes effect, and offer a way to request review. Urgent action may be taken without advance notice to prevent harm or comply with law.

You may close your account, but closure does not cancel a confirmed transaction, payment obligation, payout adjustment, dispute, or other obligation that by its nature continues. We may retain transaction and compliance records as described in the Privacy Policy.

Provisions concerning payments, content rights already granted for completed transactions, disputes, liability, indemnity, and records survive to the extent needed to give them effect.

26. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." Stayvera disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement to the extent those warranties may lawfully be disclaimed.

Stayvera does not guarantee that a host, guest, property, supplier, traveler, listing, review, recommendation, network, or third-party service will meet your expectations or be free from risk. Travel involves inherent risks and conditions outside our control. You are responsible for using reasonable care, reviewing official information, and deciding whether a product is suitable.

These disclaimers do not apply to an express commitment in your confirmation, to mandatory consumer guarantees, or to liability that cannot be excluded.

27. Limitation of Liability

To the fullest extent permitted by law, Stayvera and its directors, officers, employees, and affiliates are not liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, business, goodwill, or data, arising from the Services, even if the possibility was disclosed.

To the fullest extent permitted by law, Stayvera's total aggregate liability arising out of or relating to the Services, these Terms, and the transactions covered by them will not exceed the greater of:

  1. US $100 (or the equivalent in the relevant currency); or
  2. the fees you paid directly to Stayvera for the Services giving rise to the claim during the 12 months before the event giving rise to liability.

These exclusions and limits do not apply to fraud, fraudulent misrepresentation, willful misconduct, gross negligence where it cannot be limited, death or personal injury caused by negligence, violation of a non-waivable data-protection obligation, an obligation to pay a confirmed refund, or any other liability that applicable law does not permit us to exclude or limit.

If you are a consumer, this section does not deprive you of mandatory remedies against Stayvera for a host, supplier, package, linked travel arrangement, digital service, or other transaction where applicable law makes Stayvera responsible.

28. Indemnity for Hosts and Business Users

If you list accommodation or use the Services for a business, you will indemnify Stayvera and its directors, officers, employees, and affiliates against third-party claims, losses, penalties, and reasonable legal costs arising from your unlawful listing or business activity, your material breach of these Terms, your property or guest service, your tax or regulatory non-compliance, or User Content that infringes another person's rights. This duty applies only to the extent the claim was caused by your conduct and does not cover Stayvera's own negligence, willful misconduct, or breach.

If you use the Services as a consumer, you are responsible for loss directly caused by your fraud, willful misconduct, or material breach, but you do not owe a broader indemnity where local law does not permit it.

29. Complaints and Disputes

Please contact legal@stayvera.com first with the booking or order reference and a clear description of the issue. We will try to resolve complaints fairly. A host or other business user may use the same address to challenge an account, ranking, listing, or payment decision and may provide supporting material.

Nothing in these Terms prevents either party from seeking urgent relief from a court or using a government, regulator, consumer-protection body, or alternative dispute-resolution process that must remain available by law.

30. Governing Law and Courts

These Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

If you are not acting as a consumer, the state and federal courts located in Delaware have exclusive jurisdiction, and you consent to those courts.

If you are a consumer, Delaware law and courts apply only to the extent this does not deprive you of mandatory protections or a forum available under the law of your habitual residence or another law that applies to you. You may bring a claim in any court that mandatory law permits. These Terms do not require arbitration and do not waive a right to participate in a class or representative action where that right cannot lawfully be waived.

31. Changes to These Terms

We may update these Terms prospectively to reflect changes to the Services, law, security needs, or business practices. The date at the top shows the latest revision.

For a material change affecting an existing account or ongoing service, we will provide reasonable advance notice when required and explain when the change takes effect. A change does not retroactively alter a confirmed transaction unless you agree or law requires it. If you do not accept revised terms, you may stop using the Services and close your account after resolving outstanding transactions.

32. Miscellaneous

These Terms, the transaction terms shown before confirmation, and any other expressly applicable written terms are the agreement governing the relevant Service. If they conflict, the more specific transaction term controls for that subject, except that mandatory law always controls.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions will continue. A delay in enforcement is not a waiver. You may not assign these Terms without our consent. We may assign them as part of a merger, reorganization, financing, sale of assets, or transfer of the relevant Service, subject to your mandatory rights.

These Terms do not create third-party beneficiary rights except where they expressly say so. Headings are for convenience. To the extent permitted by applicable law, the English version is the controlling version. Stayvera does not currently provide translated versions of these Terms.
